Terms of Service
Effective date: March 25, 2026 — Tripoint Collective, LLC
Please read these Terms of Service carefully before using Tripoint. They form a binding legal agreement between you and Tripoint Collective, LLC.
1. Acceptance of Terms
By accessing or using Tripoint (available at app.tripointapp.com), you agree to be bound by these Terms of Service and all policies incorporated by reference, including our Privacy Policy. If you do not agree, do not use the platform.
Tripoint Collective, LLC (“Tripoint,” “we,” “us,” or “our”) may modify these Terms at any time. We will provide reasonable notice of material changes — for example, by posting a banner in the app or sending an email to the address on your account. Continued use of the platform after the effective date of any modification constitutes your acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years old to create a Tripoint account. Users under 18 may access the platform only through a parent or guardian account. The parent or guardian is responsible for all activity on that account.
Organizations using Tripoint are responsible for ensuring they have obtained all necessary consents before adding minor participants to the platform, including any parental or guardian consent required by applicable law.
3. Account Registration & Security
When you create an account, you must provide accurate, current, and complete information. You are responsible for keeping your account information up to date.
You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Do not share your account credentials with others. The only exception is a parent or guardian managing a child’s profile through their own account.
Notify us immediately at info@tripointcollective.com if you suspect unauthorized access to your account. Tripoint may suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4. The Platform
Tripoint is a sports operations management platform. Core features include:
- Game and event scheduling
- Team and roster management
- Player registration and payment processing
- Official and referee assignment and payment
- Digital waiver collection
- Messaging between authorized users
- Reporting and operational analytics
We reserve the right to modify, suspend, or discontinue any feature or aspect of the platform at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of features.
5. User Types & Responsibilities
Different roles on Tripoint carry different responsibilities. By using the platform in any of the following capacities, you accept the responsibilities described below.
Organization Directors
Directors control the data and settings within their organization on Tripoint. You are responsible for your users’ conduct on the platform and for your organization’s compliance with all applicable privacy laws and regulations, including those governing the collection and storage of data about minors. You must ensure that appropriate consents are obtained before adding any minor participant to the platform.
Coaches
Coaches access team and player data only as authorized by their organization. You are responsible for using that access appropriately and in accordance with your organization’s policies and these Terms.
Parents and Guardians
By adding a minor to the platform, you represent that you are the minor’s parent or legal guardian and that you consent to these Terms on the minor’s behalf. You are responsible for the accuracy of information you provide for your child and for your child’s actions on the platform.
Players
Players may access their own registration information and team details as authorized by their organization. Players who are 18 or older are individually bound by these Terms. Players under 18 access the platform under their parent or guardian’s account and responsibility.
Officials and Referees
Officials and referees using Tripoint are independent contractors (see also Section 9). You may access assignment details across the organizations that have contracted with you for scheduling purposes. You are responsible for the accuracy of your profile, certifications, and availability information.
Assigners
Assigners manage official and referee assignments on behalf of organizations. You may access game data across contracted organizations for scheduling purposes. You are responsible for maintaining accurate and fair assignment practices and for complying with all agreements between you and the organizations you serve.
6. Payment Processing
Payment processing services for organizations on Tripoint are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Tripoint enabling payment processing services through Stripe, you agree to provide Tripoint accurate and complete information about you and your business, and you authorize Tripoint to share it and transaction information related to your use of the payment processing services provided by Stripe.
Platform Fee
Tripoint charges a platform fee of 1.5% + $0.50 per transaction on all payments processed through the platform. This fee applies to all payment types, including payments that are recorded as paid externally (such as by cash or check), because it covers Tripoint’s platform services — not solely the payment gateway. Stripe’s own processing fees are separate and are disclosed by Stripe directly.
Refunds
Organizations set their own refund policies. Tripoint facilitates the technical processing of refunds but does not determine refund eligibility. Disputes about whether a refund is owed must be resolved between the registrant and the organization. Tripoint is not a party to those disputes.
Chargebacks
Organizations are responsible for responding to and bearing the cost of chargebacks on their transactions. Tripoint may, at its discretion, assist organizations in responding to chargeback disputes but is not obligated to do so.
7. Digital Waivers
Tripoint provides digital waiver collection as a service to organizations. Organizations author the content of their waivers; Tripoint is a technology intermediary and is not a party to any waiver agreement between an organization and its participants.
Electronic signatures collected through the platform constitute legally binding agreements under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state versions of the Uniform Electronic Transactions Act (UETA). Only persons 18 years of age or older may sign a waiver on the platform. Waivers on behalf of minors require the signature of a parent or legal guardian.
Tripoint stores each signed waiver with a timestamp and the verified identity of the signer. Organizations are responsible for ensuring their waiver content complies with applicable law.
8. Messaging & Communication
Tripoint’s messaging features are provided for legitimate sports operations communications — such as game updates, team announcements, and coordination between authorized users. You agree to use messaging features only for professional and appropriate purposes.
Prohibited message content includes harassment, threats, hate speech, spam, unauthorized solicitation, or any content that violates applicable law. Tripoint is not responsible for the content of messages sent between users but reserves the right to review and remove content that violates these Terms and to suspend or terminate accounts of users who engage in prohibited conduct.
By using Tripoint, you consent to receive platform notifications — such as game schedule changes, assignment notifications, and registration confirmations. You may manage your notification preferences in your account settings.
9. Officials & Referees
Officials and referees who use Tripoint to receive and manage assignments are independent contractors. Nothing in these Terms or in the use of the platform creates an employment relationship, partnership, joint venture, or agency relationship between Tripoint and any official or referee, or between any organization and any official or referee.
Officials are not obligated to accept any assignment offer. Organizations are not guaranteed that any assignment offer will be accepted. Tripoint is not responsible for the quality, timeliness, or outcome of officiating services rendered through assignments coordinated on the platform.
Payments to officials for completed assignments are processed through Stripe at the rates agreed between the assigning organization (or assigner) and the official. Tripoint facilitates this payment processing but is not a party to the underlying service agreement.
10. Content & Intellectual Property
Tripoint and its licensors own all right, title, and interest in and to the Tripoint platform, including all software, features, designs, trademarks, trade dress, and other intellectual property. You may not reproduce, distribute, modify, or create derivative works of any part of the platform without our express written permission.
You retain ownership of content you submit to the platform (such as organization logos, waiver text, and messages). By submitting content, you grant Tripoint a worldwide, non-exclusive, royalty-free license to host, store, display, transmit, and distribute that content as necessary to operate and provide the platform to you and your authorized users.
Tripoint may review or remove any content that violates these Terms or that we determine, in our sole discretion, is otherwise harmful or inappropriate.
11. Prohibited Activities
You agree not to:
- Post, transmit, or distribute illegal, defamatory, obscene, or otherwise harmful content
- Harass, threaten, or impersonate any person or entity
- Interfere with or disrupt the operation of the platform or its underlying infrastructure
- Use automated scripts, bots, or scrapers to access, collect data from, or interact with the platform without our express written consent
- Attempt to reverse engineer, decompile, or disassemble any part of the platform
- Attempt to circumvent any security measures, authentication controls, or access restrictions
- Use the platform in any manner that violates applicable local, state, national, or international law or regulation
Violations may result in immediate account suspension or termination, and may be referred to law enforcement where appropriate.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRIPOINT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TRIPOINT IS A SPORTS OPERATIONS SOFTWARE PLATFORM. TRIPOINT IS NOT RESPONSIBLE FOR INJURIES, ACCIDENTS, PROPERTY DAMAGE, OR ANY OTHER OUTCOMES ARISING FROM OR RELATED TO SPORTS PARTICIPATION, OFFICIATING, OR ANY ATHLETIC ACTIVITIES COORDINATED THROUGH THE PLATFORM. ALL SUCH RISKS ARE ASSUMED ENTIRELY BY THE PARTICIPANTS, ORGANIZATIONS, AND OTHER PARTIES INVOLVED IN THOSE ACTIVITIES.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRIPOINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF TRIPOINT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL TRIPOINT’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU HAVE PAID TO TRIPOINT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Tripoint Collective, LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the platform; (b) your violation of these Terms; (c) your User Content; or (d) any third-party claim that your content or conduct infringes any intellectual property or other right of any person or entity.
15. Dispute Resolution
Informal Resolution
Before initiating formal proceedings, you agree to contact us at info@tripointcollective.com and attempt to resolve the dispute informally. We will try in good faith to resolve any issue within thirty (30) days of receiving written notice. This informal resolution period is a prerequisite to arbitration.
Binding Arbitration
If informal resolution fails, all disputes, claims, or controversies arising out of or relating to these Terms or the platform will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, rather than in a court of law. Arbitration will be conducted in Minnesota or, if you prefer, via remote hearing. The arbitrator shall have authority to award any remedy that a court could award.
Class Action Waiver
You and Tripoint each waive the right to participate in a class action lawsuit or class-wide arbitration. All disputes must be brought on an individual basis only.
Jury Trial Waiver
You and Tripoint each waive any right to a jury trial in connection with any dispute arising under or related to these Terms or the platform.
Small Claims Court
Notwithstanding the above, either party may bring an individual claim in small claims court if the claim qualifies under the applicable rules of that court.
16. Termination
Tripoint may suspend or terminate your access to the platform at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or for any other reason at our discretion.
You may close your account at any time by contacting us at info@tripointcollective.com. Account closure does not automatically delete data that is part of an organization’s records; handling of that data after account closure is governed by our Privacy Policy.
Upon termination, the following sections of these Terms survive and remain in full force: Section 10 (Intellectual Property), Section 12 (Disclaimer of Warranties), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 15 (Dispute Resolution), and this Section 16.
17. General Provisions
Force Majeure
Tripoint is not liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargos, acts of civil or military authority, fire, flood, natural disasters, or failures of third-party infrastructure.
Severability
If any provision of these Terms is found by an arbitrator or court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.
Entire Agreement
These Terms of Service and our Privacy Policy constitute the entire agreement between you and Tripoint with respect to the platform and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
Assignment
Tripoint may assign or transfer these Terms (or any rights or obligations under them) without restriction, including in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these Terms without Tripoint’s prior written consent.
No Waiver
Tripoint’s failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.
Electronic Notice
Notices from Tripoint to you may be provided by email to the address on your account, by in-app notification, or by posting on our website. Such electronic notice is deemed sufficient for all purposes.
Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles. For any matters not subject to arbitration under Section 15, you consent to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota.
